Dasa confirmed this Monday, 10th, that it is in negotiations with the health plan operator Amil for a business combination and added that the conversations are at an “advanced stage”.
With the merger, each company would hold 50% of the capital of the new company, called “Ímpar”, according to a relevant fact from Dasa, which owns networks of laboratories such as Delboni Auriemo and Lavoisier. The company added that there will be a transfer of debt from Dasa to Ímpar, with the currently discussed value of R$3.85 billion.
Twelve hospitals belonging to the diagnostic medicine company would be part of the transaction, while Rede Américas hospitals in Ceará and Rio Grande do Norte, in addition to Amil’s verticalized hospitals, would not be part of the deal, according to the document.
The company highlighted, however, that there is currently no agreement or decision from the company’s management approving the transaction.
“The company cannot guarantee at this time that such negotiation will be concluded or that the final terms of the transaction will be in accordance with negotiations currently underway,” he added.
Dasa also confirmed that it received a document from businessman Nelson Tanure seeking a potential business combination with Alliança Saúde, but clarified that there has been no decision by the company’s management regarding the proposal.
Amil did not immediately respond to Reuters’ request for comment.
At 1:43 pm (Brasília time), Dasa shares rose 5.13%, to R$4.1 each, during trading on the São Paulo stock exchange.
