The Ímpar joint venture will have 25 units with 44 thousand beds divided between SP, RJ, DF, PR and PE; net revenue is R$10 billion
O Dasa Group and the Amil signed an agreement to create a new company, Ímpar. With 50% participation of the 2 companies in the capital, the network will have 44 thousand beds in 25 hospitals and cancer centers. It will be the 2nd largest hospital group in Brazil, behind only D’or Network.
Executive Lício Cintra, CEO of Dasa, will be appointed president of Ímpar. The company’s administrative board will be chaired by businesswoman Dulce Pugliese de Godoy Bueno, co-founder of Amil. The merger was announced this Friday (June 14, 2024) in a relevant fact published by the companies.
The net revenue of joint venture, a jointly controlled venture, is R$10 billion. Of the total, there are R$5.7 billion in assets from Dasa and R$4.2 billion from Amil.
Ebitda, earnings before interest, taxes, amortization and depreciation, is estimated at R$777 million (R$600 million Dasa and R$177 million Amil).
The union will include 14 Dasa hospitals and 11 from the Américas network, an independent network from Amil. The units will be in São Paulo, Rio de Janeiro, Distrito Federal, Paraná and Pernambuco.
The integration will be completed after approval of the Where (Administrative Council for Economic Defense). For now, operations remain independent.

For Grupo Dasa, establishing a larger network of hospitals in partnership with Amil is one of the decisive steps towards reducing its debt.
The group also talks about a possible divestment of activities outside the scope of operations of Ímpar. This is the case of Hospital da Bahia, in Salvador, Hospital São Domingos, in São Luis, and the AMO clinical network. The units did not enter into operation.
The transaction was advised by Stocche Forbes, Astoria and BTG, as representatives of Dasa. And by Lefosse, BR Partners and Banco Santander, representing Amil.
