SAO PAULO (Reuters) – Fertilizantes Heringer said on Tuesday that it received a letter from the Brazilian Securities and Exchange Commission (CVM) about the suspension of registration of the public offer for the acquisition of shares (OPA) to be carried out by Eurochem, its indirect parent company. .
The official letter was sent by the CVM to the brokerage firm Genial, intermediary of the offer, after Heringer announced that it will evaluate a special general meeting of shareholders to resolve on the realization of a new evaluation of the value of its shares in the OPA.
The suspension of the ongoing process took place under the terms of article 28 of CVM Resolution 85, which establishes procedures to be adopted for reviewing prices of an OPA. When there is a request to call a special meeting, the registration process is suspended until there is a resolution.
According to Heringer, if the convening of the special meeting is confirmed and the respective approval of a new valuation is confirmed, Eurochem reinforced that it will analyze the advisability of proceeding or not with an offer to cancel Heringer’s registration as a publicly-held company and leave B3’s Novo Mercado .
