Soltec has indicated that these resignations, caused by lack of trust, personal and work reasons, “have been communicated to society without sufficient time to proceed with the appropriate replacement.” The three members have informed the company of their immediate resignation through a letter, in a context marked by the “impossibility” of the firm to publish its semi-annual accounts, which led the CNMV to suspend its negotiation, Europa Press reports. .
Nuria Aliño has explained that the reason for her resignation is her appointment as a director of other listed companies, which affects her availability and prevents her from continuing to perform her duties. Fernando Caballero has explained in the letter that the reasons for his decision are personal, indicating that a significant change in his professional situation prevents him from continuing to dedicate the necessary time to carrying out the functions of the position of director.
Finally, María Sicilia Salvadores has stated that her resignation “is a consequence of what she has considered to be a lack of confidence on the part of the company’s board of directors in the exercise of her work as a director which, in her opinion, makes it impossible for her to continue providing her services. function as a director with due diligence and loyalty.”
Consequently, the board of directors is made up of Marcos Sáez Nicolás, Marina Moreno Dolera, Raúl Morales Torres, José Francisco Morales Torres and Mariano Berges del Estal.
Soltec communicated at the end of September the “impossibility” of publishing the semi-annual financial report for the first half of 2024 within the expected deadline, which expired on September 30, due to “the need to complete the detailed review, and therefore more exhaustive than a limited review, which is being carried out by the auditor of its accounts Ernst & Young (EY)”, the company reported then.
Given this fact, the CNMV agreed to provisionally suspend, with immediate effect, under article 64 of Law 6/2023, of March 17, on Securities Markets and Investment Services, trading on the Stock Exchanges. and in the Stock Market Interconnection System of the company’s shares until its financial information for the first half of 2024 is disseminated.
