The Board of Directors of Prosegur will vote at its Ordinary General Meeting of Shareholders, scheduled for Wednesday, April 30, in the first call, a maximum total dividend of 86.8 million euros and the re -election of five of its directors, including that of its president, the businesswoman Helena Revoredo, as Sunday counselor on behalf of Gubel.
As can be seen from the agenda published by the Security Company, a green light will be given to the distribution of a dividend with voluntary reserves at a rate of 0.1593 euros gross for each action of the prosegur in circulation with the right to receive it on the date on which the payment is made, which represents a maximum total dividend of 86,822,779.75 euros.
The proposal of agreement provides that this dividend be paid in A single paymentin cash, during the month of December 2025, through the entities participating in the Management Society of the Registration, Compensation and Liquidation Systems of Securities (Iberclear).
Regarding the reelections of the directors, They will repeat mandateits president, Helena Revoredo, as Sunday, and her two children, Christian Gut Revoredo -executive vice president -as Executive Counselor, and Chantal Gut Revoredo, as Sunday, also on behalf of Gubel.
Gubel is the titular society of 65.09% of the social capital of Prosegur which, in turn, is the holder of 81.45% of the share capital of Prosegur Cash. Likewise, Fernando D’Ornellas Silva and Isela Costantini will be re -elected independent counselors.
The Board will also be authorized to the highest governing body of the company to expand the share capital until half of the existing on the date of authorization, and with attribution of the power to exclude the right of preferential subscription.
In addition, the annual accounts and the individual management report of the company, its consolidated, its dependent signatures, corresponding to exercise 2024among other points that are in the meeting of the Prosegur shareholders that will be held on Wednesday, April 30.
