Patent– and the Swedish Register Board (PRH) announced on Tuesday that it has temporarily suspended the removal of companies from the trade register, because the Ministry of Labor and Economy (TEM) is preparing changes to the current legislation.
“The reason behind the suspension of PRH’s removal procedure is to give companies removed from the trade register due to lack of understanding or other human reasons the opportunity to return to the trade register after submitting information with a separate application to PRH”, PRH and TEM explain the goal of the law change in a press release.
The current one in accordance with the legislation, PRH has been able to remove a limited company or cooperative from the trade register due to undelivered financial statement or beneficiary information.
According to the new Trade Register Act, a deleted company could no longer apply for reinstatement to the register from PRH, but had to appeal to the Helsinki Administrative Court.
However, it has not helped, because the administrative court could cancel the deletion made by PRH mainly only if the reason had been a mistake made by the authority or some exceptional reason almost equivalent to a natural disaster.
Helsinki In the summer, the administrative court resolved the first complaints regarding PRH’s decision to remove limited companies from the trade register due to missing financial statements.
The Administrative Court rejected these appeals because, according to it, the Patent and Registration Board had acted in accordance with the Limited Liability Companies Act.
Helsingin Sanomat reported on September 16 that PRH has removed 7,705 companies from the register from 2023 due to failure to submit financial statements.
Until then, the Administrative Court had asked PRH for a statement on approximately 160 complaints regarding removal from the register.
According to the guidelines of PRH and TEM, the new legislation currently being prepared would be applied to companies that have been removed from the trade register since the beginning of 2023.

According to Alftan, together with the accounting firm, he has worked for three weeks to re-sign various contracts. During this period, there has not been enough time for advertising and marketing.
“25 contracts are being replaced with new ones today, and one table drawer company has also been bought.”
Alftan says that he has both salaries and last year’s dividends waiting for him in the old company. “You couldn’t touch them. That was wonderful news.”
