The Board of Directors of the EiDF Group has unanimously agreed to accept the voluntary resignation of Fernando Romero as director and president and the appointment of Eduard Romeu as the new president of the company.
Joan Gelonch will continue as CEO along with the rest of the management team. In addition, Rebeca Alonso joins as proprietary director. The decision of Fernando Romero, who will remain the main shareholder and senior advisor of EiDF, has the support of the Group’s main shareholders and completes the renewal of the EiDF management body that began in January.
With this change in the presidency of EiDF, a restructuring process is completed after a stage focused on improving financing, cleaning up accounts and strengthening corporate governance, confirmed after the results of the first half of 2024 in which the company has returned to positive ebitda of 3.09 million.
The Board of Directors of the EiDF Group has approved the raising of new funds for an amount of 26 million euros through obtaining financing for 11 million euros and a capital increase for an amount of 15 million euros.
On the other hand, Prosol Energía undertakes to transfer in favor of Laurion Financial Enterprises, S.à RL the political rights (attendance and voting) linked to shares it owns representing approximately 15% of EiDF’s share capital.
Prosol Energía, SL will transfer 2,000,000 shares for a total amount of 4 million euros, which will be used to cancel the entire debt that said entity currently has with EiDF.
Eduard Romeu, independent director since January 2024, has extensive experience in the world of senior business management. Romeu has a degree in Economic Sciences and has worked at Banco de Santander and Bankia. In 2015, he joined Audax Renovables as vice president, leading it to be listed on the continuous market and subsequently, between 2021 and 2024, he held the position of economic vice president of FC Barcelona. EiDF maintains its strategic growth objectives framed in the 2024-2028 Business Plan approved last May.
